Terms and Conditions of Agreement

Welcome to Iron Bull Roofing LLC. We believe in straightforward, transparent relationships with our neighbors and clients. This document outlines the legal rights, responsibilities, and project provisions governing all work performed by our team.

Please read these Terms and Conditions carefully. They constitute a binding legal agreement between the property owner and Iron Bull Roofing LLC.

1. Scope of Work and Warranty Provisions

  • Labor Warranty: Iron Bull Roofing LLC (herein referred to as “Iron Bull Roofing,” “we,” “us,” or “our”) warrants all craftsmanship and labor described in the signed project proposal from the official date of project completion.
  • Written Alterations Only: Any description, project detail, alteration, or deviation not explicitly documented in writing within this signed Agreement is solely the financial and structural responsibility of the property owner (herein referred to as “Owner”).
  • Payment Conditions: The warranty period begins strictly on the date of project completion, provided full payment has been received. Until final payment is executed in full, warranty coverage is inactive, and no warranty claims can be processed or initiated.
  • Scope Limitation: Labor and craftsmanship warranties apply exclusively to the exact work scope and physical structural areas specifically detailed in the written text of this Agreement.

2. Project Provisions and Compliance

  • Plans and Specifications: The project will be built according to the specific plans, line items, and estimates examined and approved by the Owner.
  • Owner Determinations: It is the sole responsibility of the Owner or their authorized representative to make final decisions regarding project selections—including, but not limited to, material lines, shingle colors, textures, finishes, ventilation layouts, and historical or homeowner association (HOA) compliance. The Owner accepts all financial and legal responsibility for these selections.
  • Material Matching Disclosures: Due to age, environmental weathering, UV fading, and shifting manufacturer product availability, Iron Bull Roofing cannot guarantee an exact color or texture match on roofing, siding, gutters, or accessory products when performing targeted repairs or partial replacements.
  • Document Control Hierarchy: This Agreement, accompanying plans, and line-item specifications are intended to supplement each other. In the event of an explicit conflict, architectural plans will control specifications, and this final Agreement will control both.
  • Additional Work Orders (Change Orders): Any alteration, structural correction, or deviation from the original specifications requested by the Owner, a construction lender, public officials, or municipal inspectors that involves extra costs (subcontractors, additional labor, or materials) will be executed only upon a written agreement and payment in full for the additional work. If hidden structural issues are discovered after work begins that must be remediated to keep manufacturer warranties valid, this additional work will be billed to the Owner as an additional expense.
  • Back Charges: No back charges or claims for offsets, services rendered, or materials and equipment furnished by the Owner to Iron Bull Roofing shall be valid unless previously authorized in writing by management. Written notice of a proposed back charge must be submitted to our office within 10 days of the event forming the basis of the claim.

3. Financial Rights and Responsibilities

  • Management Approval: Iron Bull Roofing will not be legally bound to the terms of this Agreement until an authorized Managing Member of the company has formally reviewed and accepted it. Management reserves the right to cancel this contract, without future consequence, within 60 days of Owner acceptance. In such cases, all deposited monies will be refunded minus reasonable, actual expenses incurred, not to exceed $500.00.
  • Mistake of Fact: If a clear mistake of fact—including improper physical measurements, incorrect material pricing tables, or miscalculations concerning raw labor costs—is discovered before work begins, Iron Bull Roofing reserves the right to amend this contract. Upon receipt of a rewritten amendment, the Owner has the right to cancel the contract pursuant to standard cancellation rules. Iron Bull Roofing assumes no corporate liability for employee or officer calculation errors beyond $500.00.
  • Labor and Materials: Iron Bull Roofing will provide and pay for all approved crew labor and physical materials necessary to complete the project scope. We will re-execute any specific application that fails to conform to the explicit structural requirements of the contract.
  • Taxes and Assessments: The Owner is responsible for paying all special assessments, public utility taxes, or municipal charges required by public bodies relative to the property.
  • Bankruptcy: If either party files for bankruptcy or becomes insolvent, the other party retains the immediate right to void this Agreement.
  • Late Interest Charges: Iron Bull Roofing will assess an interest charge of 2.0% per month (24% annually) on all outstanding project balances remaining unpaid past 10 days from the invoice date.
  • Payment Schedule Terms: Standard terms require an initial deposit due upon the execution of the contract, a second milestone payment due immediately upon the physical commencement of work, and a final balance payment due immediately upon project completion, unless otherwise outlined in writing.

4. Owner Rights and Responsibilities

  • Construction Lien Warning: Failure to pay persons or entities supplying structural materials or labor according to the terms of this financial Agreement may result in the filing of mechanics’ or construction liens against the affected property. The Owner accepts personal financial responsibility in the event of non-payment.
  • Property Insurance: The Owner shall maintain comprehensive property insurance covering the full value of the entire project site, including all labor and materials furnished by Iron Bull Roofing, protecting against fire, windstorm, vandalism, hail, and theft. Progress or final monies owed to Iron Bull Roofing shall not be withheld due to pending insurance claims or disputes.
  • Out-of-Scope Service Charges: Should Iron Bull Roofing be called out to perform a warranty service, and our technicians determine that the issue was caused by an item or area not covered under our labor warranty, a minimum service fee of $350.00 will apply. Failure to pay this diagnostic service charge within 30 days will void the remainder of the workmanship warranty.
  • Flat Roof Maintenance Logs: For new flat or low-slope roof installations (TPO, EPDM), the Owner is required by the material manufacturer to maintain and demonstrate logs of routine roof maintenance and seasonal inspections to preserve warranty standing. Iron Bull Roofing is not responsible for superficial ponding water that does not result in active water infiltration.
  • Third-Party Project Delays: Iron Bull Roofing shall not be made to wait more than 72 hours for secondary work performed by other independent contractors authorized by the Owner that delays our crew’s completion. A operational service fee of $300.00 per day plus any associated overhead fees will be assessed to the Owner for these delays.
  • Site Utilities and Access: The Owner must supply continuous electricity, water access, and adjacent crew parking within 100 feet of the primary workspace. The Owner shall provide a secure on-site staging location for stored materials and equipment, accepting responsibility for theft or environmental damage to those items while on the property.
  • Utility Disconnections: Any specialized work required to safely drop, clear, or reconnect utility lines—including plumbing, electrical panels, gas lines, HVAC equipment, solar arrays, or satellite dishes—must be performed by licensed specialty personnel at the Owner’s expense.
  • Good Faith Code Compliance: Iron Bull Roofing assumes the existing structure is currently compliant with local New Jersey building codes and safety regulations regardless of its original year of construction. Any structural damages or additional materials required to bring non-compliant elements up to current building code standards are the sole financial responsibility of the Owner.
  • Direct Employee Communication: Owners shall not approach field crews or roofers to request undocumented, additional work without management’s explicit knowledge. All project modifications must go through our central office to ensure proper tracking and to avoid voiding your warranty.

5. Iron Bull Roofing Rights and Responsibilities

  • Excusable Delays: Iron Bull Roofing will be legally excused for project delays caused by occurrences beyond our reasonable control, up to a period of 1 year. These excusable delays include acts of God, labor shortages, severe weather events, supply chain material disruptions, or interventions by public authorities. This contract cannot be canceled by the Owner prior to 1 year from the date of acceptance due to these external delays without our express consent.
  • Right to Stop Work: Failure of the Owner to make payments when due entitles Iron Bull Roofing, at our sole discretion, to suspend all physical work and withhold warranties until the account balance is cleared. The total contract sum shall be increased by our direct costs for project shutdown, mobilization delays, and crew restart protocols.
  • Hazardous Material Abatement Indemnification: The Owner agrees to indemnify and hold harmless Iron Bull Roofing from any liability, structural damages, losses, or legal claims arising from the presence of asbestos, lead paint, toxic mold, fungus, or other hazardous materials discovered on the worksite before or after project signing. Under no circumstances will our team be responsible for expenses, testing, or damages stemming from the disturbance or removal of toxic materials. We are specifically not licensed or qualified hazardous material assessors. All component remediation must be handled at the Owner’s expense.

6. Conflict Resolution and General Provisions

Arbitration Clause

Any controversy, contractual modification, order dispute, performance claim, or claim for damages arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the commercial rules of the American Arbitration Association. If the parties cannot mutually agree on a physical location, the proceedings shall take place in Trenton, New Jersey, at our option. The legal award rendered by the arbitrators shall be final, and judgment may be entered upon it in any court holding proper jurisdiction. Any legal claim against Iron Bull Roofing must be legally initiated no later than 30 days after work has ceased on the property.

Attorney Fees

In the event that legal action or arbitration is brought to enforce the terms of this Agreement, the prevailing party shall be entitled to full reimbursement of all incurred expenses, including reasonable attorney fees, court costs, arbitration filing fees, expert witness fees, and associated travel expenses.

General Provisions & Exclusions

  • Governance: This agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New Jersey.
  • Marketing Rights: The Owner grants Iron Bull Roofing the right to display a temporary promotional yard sign at the worksite and to utilize project photos, videos, and written testimonials in public forums and digital marketing materials.
  • Subcontracting: Iron Bull Roofing reserves the specific operational right to subcontract any specialized portions of the agreed-upon project scope to qualified partners.
  • Structural Exclusions: This agreement strictly excludes performance guarantees on any structural components not directly replaced by Iron Bull Roofing. This includes chimneys, structural dormers, skylights, surrounding siding panels, attic fans, existing gutter covers, or snow guards.
  • Environmental and Property Exclusions: We are solely responsible for repairing the exact scope of work performed by our crew. We are not responsible for lawn, turf, or shrubbery compression due to falling debris or heavy material staging. We are not liable for interior drywall settlement cracks, nail pops, or cosmetic irregularities resulting from standard construction vibrations, nor are we responsible for un-replaced chimney flues, pre-existing structural distortion, or wind gusts exceeding 50 mph.
  • Air Quality and Content Protection: Construction operations produce structural vibrations, dust, fumes, and significant noise. The Owner is entirely responsible for removing or covering personal property stored in attics, garages, or directly beneath the roof deck. The Owner must manage interior air quality by adjusting or turning off HVAC units, intake vents, and windows to prevent construction fumes from entering living spaces. The Owner agrees to hold Iron Bull Roofing harmless from claims brought by tenants or occupants regarding these conditions.
  • Warranty Transfer Limits: In the event that the property is sold while our labor warranty is active, only the explicit manufacturer’s material warranty is transferable to the first subsequent homeowner, pursuant to manufacturer guidelines.

YOU, THE PROPERTY OWNER, MAY CANCEL THIS CONTRACT AT ANY TIME BEFORE MIDNIGHT OF THE THIRD BUSINESS DAY AFTER RECEIVING A PHYSICAL COPY OF THIS AGREEMENT.

If you wish to cancel this contract, you must execute one of the following two actions within the 3-day window:

  1. Send a signed and dated written notice of cancellation via registered or certified mail (return receipt requested) to our corporate office.
  2. Personally deliver a signed and dated written notice of cancellation directly to our authorized management representatives.

If you cancel this contract within the mandatory 3-day period, you are legally entitled to a full refund of all deposited monies. Refunds must be processed and returned to you within 30 days of our office receiving your official cancellation notice.
